Medicover combines patient care with laboratory diagnostics across Europe and India. Healthcare Services spans employer-funded subscriptions, clinics, hospitals, dentistry, fertility care, mental-health centres and wellbeing facilities. Diagnostic Services links laboratories and local collection points in a hub-and-spoke network, offering routine testing alongside genetics and histopathology. The result is a group that both delivers care and supplies information used along the clinical pathway. On 6 August 2026, Medicover and local partners agreed to sell Medicover Hospitals India; the hospital business remains within the reported group until the conditional transaction closes.

From an employee benefit to a broad care network

Medicover's original model finances and delivers prepaid healthcare for employers and individuals. It now sits beside fee-for-service and publicly funded care across medical clinics, hospitals, dental practices, fertility clinics, mental-health centres, pharmacies, optical outlets and gyms.

Laboratory diagnostics

When tissue slides become shareable data

Diagnostic Services offers over 12,000 parameters. Its hub-and-spoke system moves samples to core and specialist laboratories; in histopathology, glass slides can instead be scanned and shared. Medicover's digital platform connects more than 100 pathologists with core laboratories in Serbia, Poland and Romania, allowing difficult tissue cases and second opinions to travel electronically. In Q2 2026, Synevo Ukraine launched what the group calls the country's first AI-assisted cytology screening, combining cytologist expertise with advanced imaging algorithms; the source describes assistance, not autonomous diagnosis or decision governance.

Geography and brands

Local names connect a multi-market diagnostic footprint

The diagnostic network operates in fifteen European markets, with brands adapted to local systems: Synevo in Romania and Ukraine, IMD and specialist clinic networks in Germany, and beo-lab in Serbia. Healthcare Services has major operations in Poland and Romania and still includes Medicover Hospitals India at this cutoff. On 6 August 2026, Medicover and local partners agreed to sell 100% of MHI to KKR-managed funds; the sale remains subject to approvals and is expected to close in Q4. The disclosed transaction concerns the MHI hospital platform, so it is not presented as a completed or group-wide India exit.

Operating model and origin

Digital access builds on a Warsaw subscription idea

Medicover uses online ordering, patient applications, remote consultations and laboratory automation to widen access and raise utilisation. Its strategy combines service expansion, laboratory optimisation, technology and selective acquisitions. The origin is memorable: the first Warsaw clinic opened in 1995, and an early logo was sketched on a napkin during a flight to Poland.

01 · Hospital portfolio

The India hospital platform is agreed for sale, not yet sold

On 6 August, Medicover, which owns 66.1% of MHI, and local partners owning 33.9% agreed to sell 100% of the MHI hospital platform to KKR-managed funds. MHI had 24 hospitals, about 4,800 beds, about 11,400 employees and EUR220.5 million LTM revenue at 30 June. The 100%-basis enterprise value is EUR1.2 billion; this is not Medicover's cash receipt. The equity purchase price is about EUR0.95 billion, KKR would also acquire about EUR0.1 billion of Medicover loans and accrued interest, and Medicover expects about EUR0.74 billion total cash proceeds at closing. The transaction follows a 2024 evaluation of a possible listing, which the issuer says the KKR alternative superseded. Closing remains subject to approvals and is expected in Q4 2026. Until then, MHI stays inside the reported group; the intended Poland, Germany and Romania focus remains a post-closing plan.

02 · Care format

Medical Point puts care, diagnostics and activity at one Warsaw address

Medicover's Q2 Diagnostic Services report introduced Medicover Medical Point in Warsaw, a single location combining medical care, diagnostic testing and physical-activity services. The format makes the group's broad ecosystem tangible by locating three service categories in one physical setting. The issuer does not disclose the site's size, patient volumes, ownership structure or unit economics, and it has not announced a national or international rollout. The evidence therefore supports one integrated Warsaw format, not a chain or a new group-wide operating model. Its importance lies in the combination itself: a place where medical, laboratory and activity services are organised together, while replication and utilisation remain open questions.

03 · Diagnostics technology

Synevo Ukraine adds AI-assisted cytology with the cytologist in the loop

Synevo Ukraine, within Diagnostic Services, launched what Medicover calls the country's first AI-assisted cytology screening. The Q2 report says the workflow combines a cytologist's expertise with advanced imaging algorithms for cervical-cancer screening. Medicover says the approach supports faster, more reliable and transparent diagnostics; it does not publish sensitivity, specificity, regulatory status or adoption figures. The evidence also does not support autonomous diagnosis: the cytologist remains part of the process and the algorithms support the cytologist's interpretation. Diagnostic Services performed 40.3 million tests in Q2, showing the scale of the surrounding laboratory network rather than validating this individual workflow. The launch is therefore a concrete use of AI inside an existing clinical process, not proof of superior outcomes or national deployment.
